These Terms of Service constitute a legally binding agreement between you and Market Mentality concerning your access to and use of marketmentality.org, including any related webpages, member areas, courses, assessments, mentorship services, workshops, communities, digital materials, communications, and other products or services offered by Market Mentality.
Throughout these Terms, “Market Mentality,” “we,” “us,” and “our” refer to Market Mentality and its owner, operators, affiliates, contractors, instructors, mentors, representatives, successors, and assigns. “You” and “your” refer to each visitor, customer, student, member, account holder, or other user of the Services.
Please read these Terms carefully before accessing or using the Services.
BY ACCESSING THE WEBSITE, CREATING AN ACCOUNT, PURCHASING A PRODUCT OR SERVICE, TAKING AN ASSESSMENT, PARTICIPATING IN A COURSE, WORKSHOP, MENTORSHIP SESSION, COMMUNITY, OR OTHER PROGRAM, OR OTHERWISE USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS.
If you do not agree with these Terms, you must not access or use the Services.
1. Definitions
For purposes of these Terms:
“Content” means all information, materials, and media made available through Market Mentality, including text, videos, audio, graphics, charts, market commentary, course lessons, assessments, questionnaires, roadmaps, workbooks, templates, downloads, trade examples, educational strategies, branding, software, and communications.
“Services” means the Website and all products, programs, features, and services offered by Market Mentality, including courses, mentorship sessions, workshops, assessments, roadmaps, community access, account features, digital products, and educational content.
“User Content” means any information, messages, photographs, videos, testimonials, reviews, comments, trade journals, assignments, assessment responses, or other content that you submit, transmit, upload, or otherwise provide through the Services.
“Website” means marketmentality.org and any related webpage, subdomain, member portal, checkout page, or online property operated by or on behalf of Market Mentality.
2. Eligibility
You must be at least eighteen years old and possess the legal capacity to enter into a binding agreement to use or purchase the Services.
If the age of legal majority in your jurisdiction is greater than eighteen, you represent that you have reached the age of legal majority in your jurisdiction.
By using the Services, you represent and warrant that:
You satisfy all applicable age and legal-capacity requirements;
The information you provide is truthful, accurate, current, and complete;
Your use of the Services is lawful in the jurisdiction where you are located;
You are not prohibited from receiving the Services under applicable law; and
You will comply with these Terms and all applicable laws and regulations.
We reserve the right to refuse access to any person or jurisdiction when we determine that offering the Services may violate applicable law, create regulatory risk, or expose Market Mentality to unreasonable legal or business risk.
3. Nature of the Services
Market Mentality provides educational and informational services intended to assist users in learning about financial markets, trading concepts, risk management, decision-making, discipline, psychology, performance development, and related subjects.
Services may include:
Online educational courses and lessons;
Trading-related videos, articles, examples, and informational materials;
Educational assessments and questionnaires;
Personalized educational mentorship or workshop sessions;
Development roadmaps and suggested learning paths;
Community discussions or third-party community access;
Educational market analysis and trade examples;
Templates, journals, checklists, worksheets, and digital downloads; and
Other educational services that we may introduce.
We may add, remove, suspend, discontinue, modify, or restrict any portion of the Services at any time. We do not guarantee that any particular product, instructor, mentor, feature, lesson, community, or service will remain available for any specific period.
4. Educational Purposes Only
All Services and Content are provided exclusively for general educational and informational purposes.
Market Mentality does not provide:
Investment advisory services;
Brokerage or dealer services;
Portfolio management;
Financial planning;
Legal, tax, or accounting advice;
Personalized investment recommendations;
Trade execution services;
Custody of customer funds or securities;
Signals that should be relied upon as instructions to trade; or
Recommendations to purchase, sell, hold, or otherwise transact in any financial instrument.
Nothing communicated through the Website, courses, mentorship sessions, workshops, assessments, communities, social-media accounts, emails, videos, charts, examples, or other Content constitutes an offer, solicitation, recommendation, endorsement, or instruction to enter into any transaction.
You must independently evaluate all information and make your own decisions.
5. No Investment Adviser, Broker, or Fiduciary Relationship
Market Mentality is not acting as your investment adviser, broker-dealer, commodity trading adviser, commodity pool operator, financial planner, fiduciary, attorney, accountant, or tax adviser.
Your use of the Services does not create:
An adviser-client relationship;
A broker-customer relationship;
A fiduciary relationship;
A partnership;
A joint venture;
An employment relationship;
An agency relationship; or
Any other professional relationship requiring Market Mentality to act in your financial interests.
No owner, mentor, instructor, employee, contractor, community moderator, or representative of Market Mentality is authorized to create such a relationship through informal statements, messages, examples, educational discussions, or other communications.
You should consult appropriately licensed professionals before making financial, investment, legal, tax, or accounting decisions.
6. Trading and Investment Risk Disclosure
Trading and investing involve substantial risk and may result in the loss of some or all of your capital.
This risk applies to financial instruments and markets including, without limitation:
Futures;
Stocks;
Options;
Foreign exchange;
Cryptocurrencies and digital assets;
Commodities;
Indices;
Contracts for difference;
Leveraged products; and
Other financial instruments.
Leverage can increase both potential gains and potential losses. Market volatility, liquidity conditions, execution delays, platform malfunctions, slippage, spreads, fees, news events, economic releases, technology failures, and other circumstances may materially affect results.
Trading is not suitable for every person. You should not trade with funds that you cannot afford to lose.
You are solely responsible for:
Determining whether trading is appropriate for you;
Evaluating your financial condition and risk tolerance;
Conducting independent research;
Selecting brokers, exchanges, trading platforms, and service providers;
Reviewing the rules governing any account or financial product;
Establishing your own risk controls;
Securing any professional advice that you require; and
Accepting the results of your decisions.
Market Mentality is not responsible for any loss, missed opportunity, margin call, account closure, evaluation failure, denied payout, drawdown violation, trading-platform issue, or other consequence arising from your trading or investment activities.
7. No Guarantee of Results
Market Mentality does not guarantee:
Profitability;
Investment returns;
Trading consistency;
Successful completion of a proprietary trading evaluation;
Receipt or retention of a funded trading account;
Eligibility for a payout;
Recovery of course or mentorship costs;
Employment, income, wealth, or financial independence;
Improvement in personal, emotional, or psychological performance; or
Any other particular result.
Your results will depend on numerous factors outside our control, including your effort, judgment, experience, discipline, financial circumstances, risk management, market conditions, technology, and implementation of the educational material.
No statement made by Market Mentality or any of its representatives should be interpreted as a promise, warranty, or guarantee of future performance.
8. Testimonials, Examples, and Performance Information
Testimonials, reviews, case studies, student experiences, trading examples, account screenshots, hypothetical examples, charts, profit-and-loss illustrations, and success stories may describe individual experiences.
These materials:
Are not guarantees of future performance;
May not represent typical results;
May reflect unusually favorable circumstances;
May omit losses, expenses, taxes, commissions, fees, or other relevant factors;
May involve simulated or hypothetical results; and
Should not be relied upon as evidence that you will achieve similar results.
Individual results vary.
Where hypothetical or simulated performance is shown, it does not represent actual trading. Hypothetical results have inherent limitations, may be prepared with the benefit of hindsight, and may not reflect the effects of actual market liquidity, execution, slippage, commissions, emotional pressure, or financial risk.
No representation is made that any account will or is likely to achieve results comparable to any example presented through the Services.
9. Mentorships, Workshops, and Personalized Educational Guidance
Mentorship sessions and workshops may be tailored to your stated goals, questions, habits, trading process, educational needs, or performance concerns. This personalization does not convert the service into financial advice or a regulated advisory relationship.
Any discussion of:
Trade setups;
Market structure;
Entry or exit concepts;
Risk management;
Trading routines;
Strategy development;
Brokerage or proprietary trading accounts;
Personal performance;
Trading psychology; or
Particular financial instruments
is provided solely within an educational context.
You remain solely responsible for deciding whether and how to apply the information.
We may refuse, reschedule, discontinue, or terminate a session if a participant engages in harassment, threats, abusive conduct, unauthorized recording, dishonesty, illegal activity, disruption, or repeated failure to comply with these Terms.
10. Assessment Disclaimer
Market Mentality may provide trading assessments, questionnaires, quizzes, scoring tools, educational evaluations, or suggested development roadmaps.
These assessments are educational tools only. They are not:
Psychological or psychiatric evaluations;
Medical assessments;
Diagnoses;
Financial suitability analyses;
Investment-risk profiling services;
Professional certifications;
Employment evaluations; or
Guarantees of trading ability or future performance.
Assessment results may be based entirely or partly on the information you provide. Incomplete, inaccurate, inconsistent, or dishonest answers may produce inaccurate or incomplete results.
Assessment scores, categories, observations, and recommendations should not be treated as professional advice or definitive conclusions concerning your mental health, financial circumstances, abilities, or likelihood of success.
11. Account Registration and Security
Certain Services may require you to create an account.
You agree to:
Provide accurate and complete registration information;
Maintain and promptly update your information;
Maintain the confidentiality of your username, password, and login credentials;
Restrict access to your account and devices;
Refrain from sharing, selling, licensing, or transferring your account;
Notify us promptly of suspected unauthorized access; and
Accept responsibility for activities occurring through your account.
Each account is intended for one individual unless Market Mentality expressly authorizes otherwise in writing.
We may require identity, billing, fraud-prevention, or account-ownership verification before providing access, processing a request, issuing a refund, or restoring an account.
We are not responsible for loss or damage resulting from your failure to secure your account or credentials.
12. Purchases, Fees, and Payment Authorization
Prices, billing intervals, included features, and payment terms will be displayed at checkout or otherwise communicated before purchase.
By submitting payment information, you represent that:
You are authorized to use the selected payment method;
The billing information is accurate;
You authorize Market Mentality and its payment processors to charge the displayed amount;
You are responsible for applicable taxes, charges, and fees; and
You will not initiate a false, fraudulent, or improper payment dispute.
Payments may be processed by third-party payment processors. Market Mentality does not necessarily receive or retain your complete payment-card information.
We may correct pricing errors and cancel or refuse orders placed at an incorrect price. If we cancel a paid order because of our pricing error, we will issue an appropriate refund.
13. Subscriptions and Recurring Charges
When a Service is sold on a recurring basis, the applicable billing frequency and renewal terms will be disclosed at checkout.
By purchasing a recurring Service, you authorize recurring charges to your selected payment method until the subscription is canceled in accordance with the cancellation instructions provided through your account, checkout terms, or support channel.
Unless otherwise disclosed:
Cancellation stops future renewal charges;
Cancellation does not retroactively refund prior billing periods;
Access may continue through the end of the paid billing period; and
Failure to use the Service does not automatically cancel the subscription.
You are responsible for canceling before the next renewal date. Applicable consumer-protection laws remain controlling where they provide non-waivable rights.
14. Refunds and Cancellations
Purchases are governed by the Refund Policy displayed on the Website, the specific terms shown at checkout, and any non-waivable rights provided by applicable law.
Because many Market Mentality products include immediately accessible digital content, reserved appointment time, downloadable materials, or community access, refund eligibility may be limited after access or delivery begins.
Unless otherwise required by law or stated in the applicable Refund Policy:
Completing a purchase does not guarantee a refund;
Failure to access or use purchased materials does not automatically create refund eligibility;
Missed appointments may be nonrefundable;
Late cancellations or rescheduling requests may be denied or subject to fees;
Removal for violating these Terms may result in forfeiture of access without a refund; and
Dissatisfaction with personal trading results does not establish grounds for a refund.
Where the checkout page, written offer, or Refund Policy provides terms that are more specific than this section, the more specific terms will control for that purchase.
15. Appointments and Scheduling
Mentorship sessions, consultations, and workshops may be subject to scheduling, cancellation, rescheduling, attendance, and lateness requirements communicated at booking.
You are responsible for:
Confirming the date, time, and time zone of the appointment;
Providing accurate contact information;
Maintaining a suitable internet connection and compatible device;
Joining on time; and
Providing reasonable advance notice of a cancellation or rescheduling request.
If you arrive late, the session may still end at its scheduled time.
Market Mentality may reschedule a session because of instructor availability, illness, emergencies, technical difficulties, or circumstances beyond reasonable control. When reasonably possible, we will provide an alternative date, service credit, or other appropriate remedy.
16. License to Use the Services
Subject to your compliance with these Terms and payment of all applicable fees, Market Mentality grants you a limited, personal, revocable, nonexclusive, nontransferable, and nonsublicensable license to access and use purchased Services for your own lawful, noncommercial educational purposes.
You do not acquire ownership of any course, video, document, assessment, strategy explanation, template, system, or other Content.
Digital products and educational materials are licensed, not sold.
Your license does not permit you to:
Republish or redistribute Content;
Share account credentials;
Upload Content to file-sharing, course-sharing, or social-media platforms;
Sell, sublicense, rent, or commercially exploit Content;
Create competing products derived from Content;
Remove copyright, trademark, or proprietary notices;
Record protected Content without authorization;
Use Content to train an artificial-intelligence system or dataset;
Provide paid instruction using Market Mentality materials; or
Allow another person to access Content through your account.
We may revoke this license if you violate these Terms.
17. Intellectual Property Rights
The Website, Services, Content, branding, layout, graphics, videos, assessments, course structures, methodologies, roadmaps, downloads, logos, trade names, and other materials are owned by or licensed to Market Mentality and are protected by applicable copyright, trademark, trade-secret, and other intellectual-property laws.
Except for the limited license expressly granted under these Terms, no right, title, or interest in the Services or Content is transferred to you.
“Market Mentality,” associated logos, slogans, course names, product names, and branding elements may be trademarks or service marks of Market Mentality. You may not use them without prior written permission.
Unauthorized copying, distribution, reproduction, sale, publication, transmission, adaptation, display, or commercial exploitation may result in account termination and legal action.
18. Recording and Confidentiality
You may not record, photograph, livestream, screen-capture, transcribe, reproduce, or distribute a private mentorship session, workshop, course, meeting, or protected member-area Content without prior written authorization.
Market Mentality may record certain sessions for quality assurance, safety, training, documentation, or service-delivery purposes when notice or consent required by applicable law has been provided.
During group services or communities, you may receive information concerning other participants. You agree not to disclose another participant’s private information, account information, personal circumstances, trade records, images, or communications without authorization.
19. User Content and Feedback
You retain ownership of User Content that you lawfully submit.
By submitting User Content through a public or community portion of the Services, you grant Market Mentality a nonexclusive, worldwide, royalty-free license to host, store, reproduce, display, and transmit that content as reasonably necessary to operate, moderate, improve, and provide the Services.
You represent that:
You own or have permission to submit the User Content;
The User Content is accurate to the best of your knowledge;
The User Content does not violate another person’s rights;
The User Content is not unlawful, deceptive, defamatory, or harmful; and
Submission of the User Content does not violate a contractual or confidentiality obligation.
We may remove User Content at any time.
If you voluntarily provide suggestions, ideas, or feedback concerning Market Mentality, we may use that feedback without restriction or compensation, provided we do not publicly disclose personally identifying information in violation of our Privacy Policy.
We will not publicly use your name, likeness, testimonial, trading results, or identifiable story for advertising without the authorization required by applicable law.
20. Community Standards
When participating in a Market Mentality community, comment section, group session, Discord server, or other interactive area, you must behave professionally and lawfully.
You may not:
Harass, threaten, intimidate, stalk, or abuse another person;
Use discriminatory, hateful, sexually explicit, or violent language;
Publish another person’s private information;
Impersonate another person or misrepresent your identity;
Promote scams, unlawful services, or deceptive offers;
Solicit members for competing paid services without authorization;
Send spam or unauthorized advertising;
Distribute malware or harmful code;
Manipulate, disrupt, or interfere with community operations;
Share paid Content or account credentials;
Present educational discussion as guaranteed financial advice; or
Engage in conduct that we reasonably determine threatens the safety, integrity, or educational purpose of the community.
We may moderate content, restrict participation, or remove users in our reasonable discretion.
21. Prohibited Uses
You may not use the Website or Services to:
Violate any law or regulation;
Commit fraud or facilitate deceptive activity;
Infringe intellectual-property, privacy, publicity, or contractual rights;
Circumvent access controls, security systems, or payment requirements;
Reverse engineer, decompile, or attempt to extract source code;
Scrape, crawl, harvest, index, or collect data through unauthorized automated means;
Introduce malicious code or harmful technology;
Overload, attack, disable, or disrupt the Website;
Gain unauthorized access to accounts, systems, or networks;
Resell, reproduce, or commercially exploit the Services;
Benchmark or copy the Services for a competing business;
Make false statements concerning Market Mentality;
Submit fraudulent payments or chargebacks;
Use another person’s payment information without authorization; or
Assist another person in any prohibited conduct.
Public search-engine indexing conducted in accordance with generally accepted technical standards is not prohibited.
22. Third-Party Platforms and Services
The Services may reference, link to, integrate with, or rely upon third-party products and services, including:
Payment processors;
Scheduling platforms;
Website hosting providers;
Email services;
Video-conferencing services;
Community platforms;
Brokers;
Exchanges;
Charting platforms;
Proprietary trading firms;
Market-data providers; and
Social-media services.
Third-party services are controlled by their respective providers and may be subject to separate terms and privacy policies.
Market Mentality does not control and is not responsible for:
Third-party availability or performance;
Account restrictions or closures;
Data errors or delays;
Broker or platform execution;
Proprietary trading firm rules, evaluations, or payouts;
Cybersecurity incidents involving a third party;
Third-party fees, policies, or business decisions; or
Losses arising from your use of a third-party service.
A reference or link does not necessarily constitute an endorsement.
23. Service Availability and Technology
We do not guarantee that the Website or Services will be uninterrupted, error-free, secure, compatible with every device, or continuously available.
Interruptions may result from:
Maintenance;
Updates;
Internet or telecommunications failures;
Hosting-provider outages;
Third-party platform failures;
Cyberattacks;
Equipment or software malfunctions;
Events beyond our reasonable control; or
Suspension or discontinuation of a Service.
You are responsible for obtaining and maintaining compatible devices, software, internet access, and security protections.
We may impose technical limitations, conduct maintenance, or suspend access when reasonably necessary.
24. Privacy
Our collection, use, and disclosure of personal information are governed by the Market Mentality Privacy Policy, which is incorporated into these Terms by reference.
By using the Services, you acknowledge that you have reviewed the Privacy Policy.
You agree that we may send transactional and service-related communications electronically, including purchase confirmations, account notices, policy updates, scheduling communications, and security alerts.
Marketing communications will be handled in accordance with applicable law and available opt-out mechanisms.
25. Electronic Communications and Signatures
You consent to receive communications from Market Mentality electronically.
Electronic communications satisfy any legal requirement that a communication be in writing to the extent permitted by law.
Your affirmative acceptance through a checkbox, button, electronic purchase, account registration, or continued use of the Services may constitute your electronic signature and agreement to these Terms.
You are responsible for maintaining a current email address and reviewing communications sent to that address.
26. Suspension and Termination
We may suspend, restrict, or terminate your account or access to any Service when we reasonably determine that:
You violated these Terms;
You failed to pay an amount when due;
A payment was reversed or disputed;
You engaged in fraud or unauthorized use;
Your conduct presents a safety, legal, regulatory, security, or reputational risk;
You infringed intellectual-property rights;
You disrupted a community or service;
We are required to act by law or a service provider; or
Continuing to provide access is no longer commercially or technically reasonable.
Termination does not eliminate obligations that arose before termination.
Sections concerning payment obligations, intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and other provisions that by their nature should survive will remain effective after termination.
27. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE, SERVICES, AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
MARKET MENTALITY DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF:
MERCHANTABILITY;
FITNESS FOR A PARTICULAR PURPOSE;
TITLE;
NON-INFRINGEMENT;
ACCURACY;
COMPLETENESS;
AVAILABILITY;
SECURITY; AND
RESULTS.
WE DO NOT WARRANT THAT:
THE SERVICES WILL MEET YOUR EXPECTATIONS;
ANY INFORMATION WILL BE ACCURATE, COMPLETE, OR CURRENT;
THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE;
DEFECTS WILL BE CORRECTED;
THE SERVICES WILL BE FREE OF HARMFUL COMPONENTS; OR
YOU WILL ACHIEVE ANY FINANCIAL, EDUCATIONAL, PROFESSIONAL, OR PERSONAL RESULT.
Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, exclusions apply only to the maximum extent permitted by law.
28. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MARKET MENTALITY AND ITS OWNERS, AFFILIATES, EMPLOYEES, CONTRACTORS, INSTRUCTORS, MENTORS, REPRESENTATIVES, SERVICE PROVIDERS, LICENSORS, SUCCESSORS, AND ASSIGNS WILL NOT BE LIABLE FOR ANY:
INDIRECT DAMAGES;
INCIDENTAL DAMAGES;
SPECIAL DAMAGES;
CONSEQUENTIAL DAMAGES;
EXEMPLARY OR PUNITIVE DAMAGES;
LOST PROFITS;
TRADING OR INVESTMENT LOSSES;
LOSS OF REVENUE;
LOSS OF DATA;
LOSS OF BUSINESS OPPORTUNITY;
LOSS OF GOODWILL;
ACCOUNT FAILURE OR TERMINATION;
DENIED PROPRIETARY-FIRM PAYOUT;
MISSED TRADE OR MARKET OPPORTUNITY; OR
DAMAGES ARISING FROM THIRD-PARTY SERVICES.
This limitation applies regardless of the legal theory asserted and even if Market Mentality was advised that damages were possible.
TO THE FULLEST EXTENT PERMITTED BY LAW, MARKET MENTALITY’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO A PARTICULAR SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
THE AMOUNT YOU ACTUALLY PAID TO MARKET MENTALITY FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR
ONE HUNDRED UNITED STATES DOLLARS.
The limitations in this section do not apply to liability that cannot lawfully be excluded or limited.
29. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Market Mentality and its owners, affiliates, employees, contractors, instructors, mentors, representatives, service providers, licensors, successors, and assigns from claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys’ fees arising out of or relating to:
Your violation of these Terms;
Your unlawful or improper use of the Services;
Your trading, investment, or financial decisions;
Your User Content;
Your infringement of another person’s rights;
Your misconduct in a community or session;
Your unauthorized sharing or exploitation of Content; or
Your fraud, negligence, or willful misconduct.
We reserve the right to control the defense of any matter subject to indemnification. You agree to cooperate reasonably with that defense.
30. Informal Dispute Resolution
Before initiating arbitration or legal proceedings, the complaining party must provide the other party with written notice describing:
The party’s name and contact information;
The nature and factual basis of the dispute;
The requested relief; and
Relevant supporting documentation.
Notices to Market Mentality must be sent to support@marketmentality.org with the subject line “Legal Dispute Notice.”
The parties will attempt in good faith to resolve the dispute informally for at least thirty days after receipt of the notice.
This informal process is a condition precedent to arbitration or litigation, except when immediate injunctive relief is reasonably necessary.
31. Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Except for matters eligible for small-claims court and requests for temporary or injunctive relief involving intellectual property, unauthorized access, data security, or misuse of the Services, disputes arising out of or relating to these Terms, the Services, or your relationship with Market Mentality will be resolved through final and binding individual arbitration.
The arbitration will be governed by the Federal Arbitration Act and administered by the American Arbitration Association under the applicable Consumer Arbitration Rules or other rules determined applicable by the administrator.
Unless the parties agree otherwise, the arbitration will occur remotely, by written submissions, or in a reasonably convenient location consistent with applicable arbitration rules.
The arbitrator may award the same individual remedies that a court could award but must apply these Terms and applicable law.
Judgment on the arbitration award may be entered in any court with jurisdiction.
Nothing in this section prevents either party from bringing an eligible individual action in small-claims court.
32. Class-Action and Jury-Trial Waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND MARKET MENTALITY AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY.
YOU AND MARKET MENTALITY WAIVE THE RIGHT TO:
A JURY TRIAL;
PARTICIPATE IN A CLASS ACTION;
ACT AS A PRIVATE ATTORNEY GENERAL;
PARTICIPATE IN A REPRESENTATIVE ACTION; OR
CONSOLIDATE CLAIMS WITH CLAIMS OF OTHER PERSONS WITHOUT THE CONSENT OF ALL PARTIES.
An arbitrator may not preside over a class, collective, coordinated, consolidated, or representative proceeding unless all affected parties expressly agree in writing.
If applicable law renders a particular portion of this waiver unenforceable, that portion will be severed or addressed by a court only to the minimum extent required by law.
33. Arbitration Opt-Out
You may opt out of the arbitration and class-action provisions by sending a written notice to support@marketmentality.org within thirty days after the date you first accept these Terms.
The notice must include:
Your full legal name;
The email address associated with your account;
A clear statement that you are opting out of the arbitration agreement; and
The date of your notice.
Opting out of arbitration will not affect the remaining provisions of these Terms.
34. Governing Law and Venue
These Terms and any dispute not subject to arbitration will be governed by the laws of the State of Georgia, without regard to conflict-of-law principles, except where federal law applies.
Subject to applicable law and the arbitration provisions above, the parties consent to the exclusive jurisdiction of the state and federal courts located in the State of Georgia.
You waive objections based on personal jurisdiction or inconvenient forum to the extent permitted by law.
35. Copyright Complaints
If you believe material available through the Services infringes your copyright, send a written notice to support@marketmentality.org containing:
Identification of the copyrighted work;
Identification and location of the allegedly infringing material;
Your name, address, telephone number, and email address;
A statement that you have a good-faith belief that the disputed use is unauthorized;
A statement, made under penalty of perjury, that the information in your notice is accurate and that you are authorized to act for the copyright owner; and
Your physical or electronic signature.
We may remove or restrict allegedly infringing content and terminate repeat infringers when appropriate.
36. Force Majeure
Market Mentality will not be liable for a delay, interruption, or failure caused by circumstances beyond its reasonable control, including natural disasters, severe weather, fire, flood, epidemic, pandemic, war, terrorism, civil disturbance, government action, labor dispute, power failure, internet outage, telecommunications failure, cyberattack, hosting failure, third-party platform outage, or failure of essential suppliers.
37. Changes to the Services
We may modify prices, features, instructors, mentors, lesson structures, schedules, platforms, technical requirements, or other aspects of the Services.
Material changes affecting an existing paid purchase will be handled in accordance with applicable law and the specific terms governing that purchase.
We may discontinue a Service. When reasonably appropriate, we may provide substitute Content, continued access for a limited period, a service credit, or another remedy selected in accordance with applicable law and the circumstances.
38. Changes to These Terms
We may update these Terms periodically.
The revised Terms will be posted on the Website with a revised “Last Updated” date. When required by law, we may also provide additional notice through email, account notification, or another reasonable method.
Changes will apply prospectively from their effective date unless applicable law permits otherwise.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms. If you do not agree with an update, you must stop using the Services.
39. Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent.
Market Mentality may assign or transfer these Terms in connection with a merger, acquisition, reorganization, sale of assets, change in ownership, or operation of law.
40. Severability
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed to the minimum extent necessary.
The remaining provisions will continue in full force and effect.
41. No Waiver
Failure by Market Mentality to enforce a provision of these Terms does not waive that provision or the right to enforce it later.
A waiver is effective only if made in writing by an authorized representative of Market Mentality.
42. Entire Agreement
These Terms, together with the Privacy Policy, Refund Policy, Risk Disclosure, disclaimers, checkout terms, and any other policies or written terms expressly incorporated by reference, constitute the entire agreement between you and Market Mentality concerning the Services.
If a product-specific agreement or checkout term conflicts with these Terms, the more specific term will control solely with respect to that product or transaction.
43. Headings and Interpretation
Section headings are provided for convenience and do not limit the meaning of any provision.
Words such as “including” and “includes” mean “including without limitation.”
These Terms will not be interpreted against either party merely because that party drafted or proposed them.
